IT Services Agreement

1. Scope of Work:

Our company agrees to provide the clients with the following services:

  1. Artificial Intelligence
  2. Cloud Solutions
  3. Data Analytics
  4. Cyber Security
  5. Software Development
  6. Database Security

2. Timeline and Milestones:

The project shall commence on agreed date and shall be completed before the deadline.

3. Payment Terms:

  • Invoices will be issued on a Weekly/Monthly basis.
  • Payment is due within 10 Number days of receiving the invoice.
  • There are no late fees.

4. Intellectual Property Rights:

All intellectual property created during this project shall be owned by our company name. The client shall receive a non-exclusive license to use the deliverables for their intended purpose.

5. Confidentiality and Non-Disclosure:

Both parties agree to keep all project-related information confidential and not disclose it to third parties without prior written consent.

6. Data Protection and Privacy:

The IT company will handle personal and sensitive data in compliance with applicable data protection laws.

7. Warranties and Guarantees:

The IT company guarantees that all work will be performed in a professional and workmanlike manner. Any defects will be corrected promptly.

8. Limitation of Liability:

The total liability of our company under this agreement shall not exceed the agreed amount or the total fees paid by the client, whichever is lower.

9. Termination Clause:

Either party may terminate this agreement with 2 days' written notice. Termination shall not relieve the client of their obligation to pay for services rendered.

10. Dispute Resolution:

Any disputes arising from this contract shall be resolved through arbitration in accordance with the rules of Arbitration Organization.

11. Force Majeure:

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their control.

12. Governing Law:

This agreement shall be governed by and construed in accordance with the laws of Jurisdiction.

13. Independent Contractor Status:

Notre société est un entrepreneur indépendant et n'est ni un employé ni un partenaire du client.Our Company is an independent contractor and not an employee or partner of the client.

14. Insurance:

Our Company shall maintain professional liability insurance with coverage of at least Coverage Amount during the term of this agreement.
